TERMS OF SERVICE — ISF Trading, Inc.

1. ACCEPTANCE OF TERMS

By accessing our website (isftrading.store, including www.isftrading.store), placing an order, or using our services, you agree to be bound by these Terms of Service and all policies referenced herein, including our Shipping Policy, Return & Refund Policy, and Privacy Policy.

If you do not agree to these terms, please do not place an order.

2. ABOUT ISF TRADING

ISF Trading, Inc. is a U.S.-based seafood supplier specializing in fresh and frozen premium seafood products, including sushi-grade fish, lobster tails, and sea urchin (uni).

3. PRODUCTS AND PRICING

3.1 Product Nature
All products are perishable seafood items requiring proper refrigeration and handling. Product availability, quality, and pricing are subject to daily market conditions and may change without notice.

3.2 Sea Urchin (Uni) — No Advance Pre-Orders
Due to supply variability, sea urchin items are not available for advance pre-orders. Inventory is updated daily at 9:00 AM ET. All orders are subject to availability at the time of order placement.

3.3 Pricing
All prices are in U.S. Dollars (USD) and are subject to change without notice. The price charged will be the price displayed at the time of order placement.

3.4 Product Descriptions
We strive for accuracy in product descriptions and images. However, we do not warrant that descriptions, images, or other content are error-free, complete, or current.

4. ORDERS AND PAYMENT

4.1 Order Acceptance
All orders are subject to acceptance by ISF Trading, Inc. We reserve the right to refuse, cancel, or limit any order for any reason, including but not limited to:

  • Product availability
  • Pricing errors
  • Suspected fraudulent activity
  • Delivery address issues

4.2 Payment Authorization
By placing an order, you represent and warrant that:

  • You are the authorized user of the payment method provided
  • You authorize ISF Trading, Inc. to charge the full order amount (including products, shipping, and applicable charges shown at checkout) to your payment method
  • All payment information provided is accurate and current
  • You are legally authorized to make this purchase

4.3 Payment Processing
We accept payment via credit card through Shopify Payments. Payment must be received in full before shipment.

4.4 Order Confirmation
You will receive an order confirmation email after placing your order. This confirmation does not constitute acceptance of your order—it is simply acknowledgment that we have received it.

5. SHIPPING AND DELIVERY

5.1 Shipping Terms
All shipping terms, methods, costs, and delivery expectations are governed by our Shipping Policy. By placing an order, you agree to our shipping terms.

5.2 Delivery Address
You are responsible for providing an accurate and complete delivery address. We ship via UPS and cannot deliver to P.O. Boxes. Address errors may result in delivery delays or failed deliveries, for which we are not responsible.

5.3 Delivery Availability
You must be available to receive perishable shipments. If you will not be available, you are responsible for making alternative arrangements (e.g., providing delivery instructions to the carrier).

5.4 Risk of Loss
Risk of loss and title for products pass to you upon confirmed delivery to the shipping address you provided, as shown by the carrier’s tracking records, except where prohibited by applicable law.

6. INVENTORY AND OUT-OF-STOCK ITEMS

6.1 Daily Inventory Fluctuations
Due to the nature of fresh seafood supply, inventory may change between the time you place an order and the time we pack it for shipment.

6.2 Partial Refunds
If an item becomes unavailable after you place your order, we will attempt to contact you to offer:

  • A substitution (if available and acceptable)
  • Removal of the item (partial shipment)
  • Order cancellation

If we cannot reach you in time, we will ship available items and automatically refund the unavailable item(s) to your original payment method.

7. CUSTOMER RESPONSIBILITIES

By placing an order, you agree to:

  • Provide accurate shipping, billing, and contact information
  • Be available to receive perishable shipments on the scheduled delivery date
  • Inspect products immediately upon delivery
  • Refrigerate or freeze products immediately upon receipt
  • Report any quality concerns within 24 hours of delivery with photographic evidence
  • Store and handle products properly after delivery

8. PRODUCT INSPECTION AND QUALITY CLAIMS

8.1 Immediate Inspection Required
You must inspect your order immediately upon delivery. Due to the perishable nature of our products, quality claims must be reported within 24 hours of delivery with photographic evidence sent to isftrading.store@gmail.com.

8.2 After 24 Hours
We do not accept returns or refunds for quality-related concerns reported more than 24 hours after delivery.

8.3 Customer Responsibility After Delivery
We are not responsible for product quality issues resulting from:

  • Improper storage or handling after delivery
  • Delays in refrigerating products after receipt
  • Failure to consume products within recommended timeframes
  • Mishandling or contamination after delivery

9. RETURNS AND REFUNDS

9.1 All Sales Are Final
Due to the perishable nature of our products, all sales are final. We do not accept returns.

9.2 Refunds, Replacements, or Store Credit
Refunds, replacements, or store credit may be offered at ISF Trading’s sole discretion after review of quality claims submitted within 24 hours of delivery with photographic evidence.

9.3 Refund Method
Approved refunds will be issued to the original payment method within 5–10 business days.

10. ORDER CHANGES AND CANCELLATIONS

10.1 All Orders Are Generally Final
Once an order is placed, it is generally final and cannot be changed or canceled.

10.2 Cancellation Requests
If you need to cancel or modify an order, contact us immediately at isftrading.store@gmail.com. Once a shipping label is printed and packing begins, same-day changes may not be possible.

11. CHARGEBACKS AND PAYMENT DISPUTES

11.1 Dispute First
If you have any concerns about your order (including quality, delivery, or billing), you agree to contact us first at isftrading.store@gmail.com so we can attempt to resolve the issue promptly.

11.2 Fraudulent or Bad-Faith Chargebacks
Submitting a chargeback with materially false information, or submitting a chargeback after confirmed delivery and acceptance of perishable products without a legitimate basis, may be considered fraudulent and a material breach of these Terms.

11.3 Our Response to Disputes
We may provide relevant evidence to payment processors and card issuers to contest disputes, including delivery confirmation/tracking, order records, and communication history. Where appropriate, we may also take further steps to recover losses and associated fees as permitted by law, including pursuing legal remedies.

12. LIMITATION OF LIABILITY

12.1 No Liability for Carrier Delays
ISF Trading, Inc. is not liable for delays, damages, or losses caused by shipping carriers (UPS or others) beyond our control.

12.2 No Liability After Delivery
We are not liable for any damages, losses, or quality issues resulting from:

  • Improper storage or handling after delivery
  • Failure to refrigerate products promptly
  • Delays in consuming perishable products
  • Circumstances beyond our reasonable control

12.3 Maximum Liability
In no event shall ISF Trading, Inc.’s total liability to you for any claim exceed the amount you paid for the specific product(s) at issue.

12.4 No Consequential Damages
We are not liable for any indirect, incidental, special, or consequential damages, including but not limited to lost profits, lost revenue, or business interruption.

13. FOOD SAFETY, STORAGE, AND CONSUMPTION GUIDANCE

Because seafood is perishable and may be consumed raw or undercooked by some customers, you are responsible for safe handling, storage, preparation, and consumption. Consuming raw or undercooked seafood may increase the risk of foodborne illness, especially for children, the elderly, pregnant individuals, and people with weakened immune systems. Individuals with seafood allergies should avoid exposure. This guidance is general information and is not medical advice.

14. INTELLECTUAL PROPERTY

All content on isftrading.store, including but not limited to text, images, logos, graphics, and product descriptions, is the property of ISF Trading, Inc. and is protected by U.S. and international copyright and trademark laws.

You may not reproduce, distribute, or use any content without our prior written permission.

15. PRIVACY

Your use of our website and services is also governed by our Privacy Policy. By using our services, you consent to our collection and use of your information as described in our Privacy Policy.

16. GOVERNING LAW AND DISPUTE RESOLUTION

16.1 Governing Law
These Terms of Service are governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law principles.

16.2 Jurisdiction
You agree that any legal action or proceeding arising out of or relating to these Terms or your use of our services shall be brought in the state or federal courts located in New York, and you consent to the personal jurisdiction of such courts.

17. MODIFICATIONS TO TERMS

ISF Trading, Inc. reserves the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after changes are posted constitutes your acceptance of the modified terms.

We encourage you to review these Terms periodically.

18. SEVERABILITY

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

19. ENTIRE AGREEMENT

These Terms of Service, together with our Shipping Policy, Return & Refund Policy, and Privacy Policy, constitute the entire agreement between you and ISF Trading, Inc. regarding your use of our services.
